Please read these terms carefully before placing an order or using our services. By engaging with SGS & Company, you agree to be bound by these terms and conditions.

Introduction

These Terms of Service (Terms) govern the relationship between SGS & Company (we, us, our, or the Company) and our clients (you, your, or the Client) regarding the supply and distribution of industrial and specialty chemicals. These Terms apply to all quotations, orders, sales, and deliveries made by SGS & Company.

By placing an order with SGS & Company, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, along with our Privacy Policy and any additional terms specific to particular products or services.

2. Scope of Services

2.1 Products and Services

SGS & Company supplies industrial and specialty chemicals including but not limited to Zinc Oxide, Bleaching Powder, Sodium Bicarbonate, Boric Acid, Citric Acid, Caustic Soda, Calcium Chloride, and other chemicals across various grades (technical, industrial, food, pharmaceutical, cosmetic).

2.2 Authorized Dealership

We are authorized dealers for Reliance Industries Limited, Gujarat Narmada Valley Fertilizers & Chemicals Ltd. (GNFC), and Gujarat Alkalies and Chemicals Limited (GACL). Products from these manufacturers are supplied under their respective terms and warranties.

2.3 Service Limitations

We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion, particularly in cases of suspected fraud, violation of these Terms, or circumstances beyond our reasonable control.

3. Quotations and Orders

3.1 Quotation Validity

All quotations provided by SGS & Company are valid for 7 days from the date of issue unless otherwise specified. Prices, availability, and terms stated in quotations are subject to change after the validity period.

3.2 Order Acceptance

A quotation does not constitute a binding offer. Orders become binding only upon our written acceptance (via email, purchase order confirmation, or invoice issuance). We reserve the right to accept or decline any order.

3.3 Order Accuracy

Clients are responsible for ensuring that all order details (product specifications, quantities, grades, delivery address, contact information) are accurate. SGS & Company is not liable for errors in orders resulting from incorrect information provided by the Client.

3.4 Order Modifications

Once an order is confirmed, modifications or cancellations must be requested immediately. We will make reasonable efforts to accommodate changes, but modifications after dispatch cannot be guaranteed. Cancellation fees may apply for confirmed orders.

3.5 Minimum Order Quantities

Certain products may have minimum order quantity (MOQ) requirements. MOQs vary by product and will be communicated during the quotation process.

4. Pricing and Payment

4.1 Pricing

All prices are quoted in Indian Rupees (INR). Prices are subject to change based on market conditions, manufacturer pricing changes, or government regulations. Confirmed orders will be honored at the agreed price.

4.2 Taxes and Duties

Goods and Services Tax (GST) and any other applicable taxes, duties, or charges are additional to the quoted price unless explicitly stated as inclusive. Clients are responsible for all applicable taxes.

Payment terms are established on a case-by-case basis and specified in the quotation or invoice. Standard payment terms include:

We accept payment via bank transfer (NEFT/RTGS/IMPS), cheques, demand drafts, and approved online payment systems. Payment details will be provided with the invoice.

4.5 Late Payment

For credit accounts, payment is due within the agreed credit period. Late payments may incur interest charges at 2% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend further deliveries until outstanding payments are cleared.

4.6 Currency and Foreign Exchange

All transactions are conducted in INR. Any foreign exchange fluctuations affecting import costs may result in price adjustments for products not yet confirmed.

5. Product Quality and Specifications

5.1 Quality Assurance

SGS & Company maintains quality control procedures for all products. Products are sourced from reputable manufacturers and undergo quality verification before dispatch.

5.2 Product Specifications

Products will conform to the specifications stated in the quotation and accompanying Certificate of Analysis (CoA). Technical specifications, grade information, and purity levels are provided based on manufacturer data.

Minor variations in specifications within industry-accepted tolerances do not constitute a breach of quality standards. Significant deviations will be addressed under our Quality Complaints procedure.

5.5 Third-Party Products

For products manufactured by third parties, manufacturer warranties and specifications apply. SGS & Company acts as a distributor and is not responsible for manufacturing defects beyond facilitating resolution with the manufacturer.

6. Delivery and Logistics

6.1 Delivery Terms

Delivery terms (Ex-Works, FOB, CIF, etc.) will be clearly specified in the quotation. Unless otherwise agreed, standard delivery terms apply where risk transfers upon dispatch from our warehouse.

6.2 Delivery Timeline

Estimated delivery times are provided in good faith based on current logistics conditions. While we make every effort to meet delivery schedules, delivery dates are approximate and not guaranteed. We are not liable for delays caused by circumstances beyond our reasonable control.

6.3 Delivery Location

Products will be delivered to the address specified by the Client. It is the Client's responsibility to provide accurate delivery information including contact person, phone number, and any special delivery instructions.

6.4 Delivery Charges

Delivery charges are specified in the quotation. For certain bulk orders or locations, delivery charges may be included in the product price. Clients are responsible for any additional charges such as octroi, toll taxes, or local duties unless explicitly agreed otherwise.

6.5 Delivery Acceptance

Upon delivery, the Client or authorized representative must inspect the shipment for quantity and obvious external damage. Acceptance of delivery constitutes confirmation that the shipment was received in apparent good condition.

6.6 Failed Delivery

If delivery cannot be completed due to incorrect address, unavailability of recipient, or refusal to accept delivery, additional delivery charges and storage fees may apply. Risk of loss transfers to the Client upon failed delivery attempt.

6.7 Force Majeure

SGS & Company is not liable for delays or failure to deliver due to circumstances beyond our control including but not limited to natural disasters, pandemics, government actions, transportation disruptions, labor strikes, or supplier failures.

7. Risk and Title

7.1 Transfer of Risk

Risk of loss or damage to products passes to the Client:

Title to products passes to the Client upon full payment of the invoice amount. Until full payment is received, SGS & Company retains ownership of the products.

7.3 Insurance

Products are insured during transit through our logistics partners. Clients may arrange additional insurance at their own expense if desired.

8. Quality Complaints and Returns

8.1 Inspection Period

Clients must inspect products immediately upon receipt. Any quality concerns, quantity discrepancies, or damage must be reported within 7 days of delivery for consideration.

9. Limitation of Liability

Clients are responsible for ensuring that products are suitable for their intended application. While we provide technical guidance, the Client assumes full responsibility for product selection, usage, and application outcomes.

9.2 Liability Cap

To the maximum extent permitted by law, SGS & Company's total liability for any claim arising from product supply shall not exceed the invoice value of the specific products giving rise to the claim.

For third-party manufactured products, manufacturer warranties apply. Our liability is limited to facilitating claims with manufacturers.

10. Intellectual Property

10.1 Trademarks

All trademarks, brand names, and logos displayed on our website or documentation are the property of their respective owners. Unauthorized use is prohibited.

10.2 Website Content

All content on the SGS & Company website including text, images, graphics, and design is protected by copyright and owned by SGS & Company or our content providers. Reproduction without permission is prohibited.

10.3 Technical Information

Technical data sheets, specifications, and other technical information provided by SGS & Company or manufacturers are for informational purposes only and may not be reproduced for commercial purposes without authorization.

11. Confidentiality

11.1 Confidential Information

Both parties agree to maintain confidentiality of proprietary information including pricing, technical data, business strategies, and customer information shared during the business relationship.

We collect and process personal information in accordance with our Privacy Policy and applicable data protection laws. By engaging with SGS & Company, you consent to such collection and processing.

Client business information (company name, address, contact details, order history) is used solely for fulfilling orders, maintaining business relationships, and improving our services.

13.1 Legal Compliance

Clients are responsible for ensuring that their purchase, use, storage, and disposal of chemicals comply with all applicable local, state, and national laws and regulations.

Certain chemicals may be subject to export control regulations. Clients purchasing for export must comply with all applicable export laws and obtain necessary licenses.

Clients purchasing hazardous chemicals must:

Clients confirm that chemicals will not be used for illegal purposes, weapons development, or any application prohibited by law.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or our business relationship shall be subject to the exclusive jurisdiction of courts in Vadodara, Gujarat, India.

14.2 Negotiation

In the event of any dispute, both parties agree to first attempt resolution through good-faith negotiation.

14.3 Mediation

If negotiation fails, parties agree to attempt resolution through mediation before pursuing litigation.

14.4 Arbitration

Disputes not resolved through negotiation or mediation may be submitted to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with proceedings held in Vadodara, Gujarat.

Either party may terminate the business relationship with written notice. Termination does not affect obligations arising from existing orders or outstanding payments.

16.1 Entire Agreement

These Terms, together with quotations, order confirmations, and invoices, constitute the entire agreement between SGS & Company and the Client, superseding all prior agreements, understandings, or representations.

16.2 Amendments

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with the revision date. Continued engagement after changes constitutes acceptance of modified Terms.

16.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.4 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

16.5 Assignment

Clients may not assign or transfer their rights or obligations under these Terms without our written consent. We may assign our rights and obligations to affiliated companies or successors.

16.6 Notices

All notices must be in writing and delivered to the addresses specified in Section 1 (Company Information) or as updated in writing. Email notices to sales@sgscompany.in are acceptable for routine communications.

16.7 Language

These Terms are provided in English. In case of any translation, the English version shall prevail in case of discrepancies.

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between SGS & Company and the Client.

17. Safety and Handling

17.1 MSDS Compliance

Clients must read and follow Material Safety Data Sheets (MSDS) provided with each chemical. MSDS contains critical safety information including handling, storage, emergency procedures, and disposal guidelines.

17.2 Storage Requirements

Clients are responsible for maintaining appropriate storage conditions including temperature control, ventilation, segregation from incompatible materials, and protection from moisture, heat, or contamination.

17.3 Personnel Training

Clients must ensure that personnel handling chemicals are properly trained in safe handling procedures, emergency response, and use of personal protective equipment (PPE).

17.4 Incident Reporting

Clients should report any safety incidents, spills, or accidents involving our products to us at the earliest opportunity so we can provide guidance and documentation support.

18. Environmental Responsibility

18.1 Waste Disposal

Clients are responsible for proper disposal of chemical waste, containers, and packaging in compliance with environmental regulations and local waste management guidelines.

18.2 Environmental Compliance

Clients must comply with all environmental laws and regulations applicable to their use, storage, and disposal of chemicals.

18.3 Sustainability

SGS & Company is committed to sustainable practices. We encourage clients to implement responsible chemical management and minimize environmental impact.

19. Force Majeure

SGS & Company shall not be liable for failure or delay in performance due to circumstances beyond our reasonable control including but not limited to:
